Refund, license cancellation and commercial termination terms

These terms form an integral part of the Software License Agreement between İLİKSOFT YAZILIM SANAYİ TİCARET A.Ş. ("ILIKSOFT") and the Licensee.

ARTICLE 1: COMMERCIAL NATURE OF THE TRANSACTION AND APPLICABILITY OF THE RIGHT OF WITHDRAWAL

1.1. Commercial Nature of the Transaction: The sale of a Software License is a transaction carried out for commercial purposes and is subject to the Turkish Commercial Code (TTK) and the Turkish Code of Obligations (TBK). The LICENSEE accepts that it acts as a prudent merchant and for commercial purposes.
1.2. Consumer Law Exception: The provisions of Turkish Law No. 6502 on Consumer Protection, the related regulations and the 14-day unconditional right of withdrawal under them do not apply in any way to this commercial software sale.
1.3. Right of Withdrawal Not Available: Because the benefit of the Software License begins immediately once it is installed on the LICENSEE's computer, the license key is entered or the software is first put into use, the CUSTOMER cannot exercise a right of withdrawal after payment, whether or not a reason is given.

ARTICLE 2: LICENSE CANCELLATION AND REFUND TERMS

2.1. No Refund Without Cause: Because the service/software is licensed and delivered electronically by ILIKSOFT and made available for use immediately, it cannot be returned.
2.2. Refunds Only for Defects (Liability under the TTK): The license fee can be refunded only if, within the statutory warranty period (1 year), the Software substantially fails to perform the basic functions described in the documentation and ILIKSOFT cannot remedy this defect within a reasonable time.
2.3. Obligation on License Termination: If the license ends for any reason, the LICENSEE must immediately and permanently remove the Software and all its backups from every system on which it is installed.

ARTICLE 3: COMPETENT COURT

Because this agreement is a commercial sale, the Courts and Enforcement Offices of Ankara, competent under the general rules of law, have jurisdiction over any dispute.
